Terms of Service

1. Agreement

By accessing or using Suplo (including suplo.co and app.suplo.co), you agree to these Terms of Service. The service is operated by Profores LLC, 30 N Gould St Ste R, Sheridan, WY 82801, US (“we”, “us”). If you do not agree, do not use the service.

2. The Service

Suplo is a supplier collaboration platform for DTC fashion brands, providing purchase order management, factory communication, and inventory tracking.

3. Account & Access

  • You must provide accurate account information.
  • You are responsible for your account security.
  • One account per business entity; multiple users per account are permitted.
  • We may suspend or terminate accounts that violate these terms.

4. Subscription & Billing

Trial

New accounts receive a 14-day free trial with full access. No credit card is required to start.

Plans

  • Starter: $149/month or $1,490/year
  • Studio: $299/month or $2,990/year

Annual plans are billed upfront.

Payment

  • Direct customers (suplo.co): payments processed by Stripe.
  • Shopify App Store customers: payments processed by Shopify Billing.

Cancellation

  • Cancel anytime via Settings → Billing.
  • Monthly: access continues until the end of the current billing period.
  • Annual: no pro-rata refund; refunds are at our discretion.
  • After cancellation your data enters a 30-day grace period, then is archived for 60 days, then permanently deleted.

Trial expiry

  • After 14 days without a subscription, the account enters a 30-day grace period (read-only access).
  • After the grace period, data is archived for 60 days, then permanently deleted.

5. Acceptable Use

You may not use Suplo to:

  • Violate any applicable law or regulation.
  • Infringe the intellectual property of others.
  • Transmit malware, spam, or disruptive code.
  • Resell or sublicense access to the service without our written permission.

6. Data & Privacy

  • You own your data.
  • We process your data as described in our Privacy Policy.
  • Shopify data is handled in accordance with Shopify's requirements for app partners.
  • We apply reasonable technical and organisational security measures to protect your data.

7. Integrations

  • Shopify: use of the Suplo Shopify app is also governed by the Shopify Partner Agreement and Shopify's Terms of Service.
  • WooCommerce: you are responsible for providing valid API credentials and for your WooCommerce store's compliance with WooCommerce's terms.
  • We are not responsible for interruptions, data loss, or other issues caused by third-party services.

8. Intellectual Property

  • The Suplo software, brand, and website content are owned by Profores LLC or its licensors.
  • Your data remains yours.
  • Feedback you provide may be used to improve the service; no compensation is owed for feedback.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Profores LLC and its affiliates, officers, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, revenue, data, or business opportunity.

Our total cumulative liability for any claim arising from or related to these terms or the service shall not exceed the total fees you paid to us in the 12 months preceding the claim.

10. Service Level

We target 99.5% monthly uptime for theSuplo application. This target is not a guarantee and does not form part of an SLA unless separately agreed in writing.

11. Governing Law & Venue

These terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Any dispute shall be brought exclusively in the state or federal courts of Sheridan County, Wyoming, and you consent to the personal jurisdiction of those courts.

If any provision of these terms is found unenforceable, the remaining provisions continue in full force and effect.

12. Changes to These Terms

We will notify you by email at least 30 days before material changes take effect. The “Last updated” date at the top of this page reflects the most recent revision. Continued use of the service after the effective date constitutes acceptance.
